  1. NAME AND PURPOSE
    1.  
    2. This organization shall be known as the Pacific Crest Wind Symphony.
    3. This organization is incorporated as a non-profit corporation formed for educational purposes within the meaning of Section 501(C)(3) of the Internal Revenue Code March 1986. The organization is also incorporated as a non-profit corporation in the State of Oregon filed November 14, 1989, Registry Number 179189-88. The Federal Employer identification number is 93-1012732 filed with the Internal Revenue Service on November 9, 1989.
    4. Its purpose shall be:
      1. To contribute positively to the musical environment of the areas it serves, whether local, state, national, or international.
      2. To provide an opportunity for musical expression and musical growth among the membership.
      3. To affirm the wind ensemble position in American music.
    5. This organization is intended to be a wind ensemble, consisting of one player per part, except flute, Bb (B flat) soprano clarinet, and tuba, which are doubled, or as dictated by the need of the score.
    6. This organization may engage in any lawful activity, none of which is for profit, for which corporations may be organized under the Oregon Revised Statutes, Chapter 61 or Section 501(C)(3) of the Internal Revenue Code revised, March 1986.
  2. MEMBERSHIP

    2. Definition: There are two types of membership: Performing member and Non-performing member (also referred to as the Auxiliary)
      1. Performing and Auxiliary Members must be at least 18 years old. Otherwise, group membership shall not be restricted on account of age, or on account of race, religion, gender, nationality, or sexual orientation.
    3. Performing Member qualifications for membership:
      1. Anyone who is interested in becoming a Performing Member of the Pacific Crest Wind Symphony may be considered a candidate provided that: a vacancy exists, the applicant meets the minimum age requirement as identified in section II.A.1, and the applicant passes the formal audition.
      2. Performing members shall remain in the organization as long as they show continued musical competence required by the score and agree to the conditions of membership set forth in the By-Laws of the organization.
    4. Non-Performing Members, or the Auxiliary
      1. The Auxiliary shall be responsible for implementing the business of the Board of Directors.
      2. The Auxiliary shall not be restricted in numbers or members other than as identified in section II.A.1.
      3. Non-Performing Members shall remain in the organization as long as they agree to the conditions of membership set forth in the By-Laws of the organization.
       
  3. BOARD OF DIRECTORS
    1.  
    2. Executive Authority
      1. The executive authority of the organization is vested in the Board of Directors whose duties will include:
        1. Management of the general affairs of the organization, taking all action which is compatible with the best interest of the organization and its previously stated purpose;
        2. Management of the financial affairs of the organization and establishment of an annual budget;
        3. The replacement of members of the Board of Directors who are unable to complete their term of office;
        4. Conducting the search for a competent replacement of the Conductor in the event replacement is necessary;
        5. The establishment of a schedule of rehearsals and concerts;
        6. To adopt and amend the By-Laws.
      2. A quorum of half the number of current board members plus one must be present in order to vote on all financial management decisions affecting the ensemble.
    3. Titles
      1. The Board shall consist of a minimum of seven and a maximum of eleven members. The majority of the Board must be performing members of the Wind Symphony.
        1. President (elected by the performing members)
        2. Vice-President (elected by the performing members)
        3. Secretary (elected by the performing members)
        4. Treasurer (elected by the performing members)
        5. Publicity Director (elected by the performing members)
        6. Concert Coordinator (elected by the performing members)
        7. Marketing Director (appointed by the board)
        8. Librarian (appointed by the board)
        9. Development Director (appointed by the board)
        10. Auxiliary Director (appointed by the board)
        11. Community Outreach Director(appointed by the board)
    4. Election of Board members
      1. On or before April 1st of an election year the President shall appoint a three-member committee from the general membership for the purpose of preparing a slate of candidates to be elected for a three year term of office

At the General Election of 1993, the elected Board Members drew lots to determine which would serve one year, two year, or three year terms. Thereafter, one third of the Board of Directors will be elected each year, and once elected, shall continue in office until a successor shall have been elected.

      1. Members of the nominating committee should not be discouraged as possible candidates.
      2. The nominating committee shall present its report at the first rehearsal in May, listing at least one candidate for each vacancy on the Board.
      3. Floor nominations and volunteers from the Performing Members at the elections meeting should be encouraged.
      4. Candidates will be elected by simple majority of the Performing Members
      5. Absentee votes will be allowed for one week by Performing Members unable to attend the first rehearsal in May
      6. For all elections a quorum exists of ¾ (three-fourths) of the Performing Members who are present and whose dues are paid in full.
      7. Tally of all votes will be by the nominating committee.
      8. A member may serve a maximum of two consecutive terms in the same elected office.

IV. MEETINGS

  1. Meetings of the Board of Directors shall be monthly during the performance season at a place and time designated by the Board. An emergency meeting of the Board of Directors may be called by the President or the Conductor.
  2. Meetings of the full membership must be held once yearly or as additionally called by the Board of Directors.

    V. AMENDMENTS

    1. Previous notice of a proposed change to the constitution, along with a copy of the proposed change, must be presented at a duly constituted meeting of the performing membership at least thirty days or three full rehearsals prior to the voting.
    2. A three-fourths vote of approval of those Performing Members present and voting, as well as absentee votes allowed for one week after the initial vote for those Performing Members not present at the voting meeting, will be necessary for its adoption.
    3. Voting on changes will be conducted by secret ballot. Final tally of votes to be conducted by the President, Secretary, and the Treasurer.
